Terms of Service

1. Acceptance of Terms

By finding access to and using the Toplayr platform ("Service"), you accept and agree to be bound by the terms and provision of this agreement. In addition, when using these particular services, you shall be subject to any posted guidelines or rules applicable to such services.

2. Description of Service

Toplayr provides users with tools to log, rate, review, and track video games, as well as social features to interact with other gamers. You understand and agree that the Service is provided "AS-IS" and that Toplayr assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings.

3. User Conduct

You agree to not use the Service to:

• Upload, post, email or otherwise transmit any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
• Harm minors in any way;
• Impersonate any person or entity, including, but not limited to, a Toplayr official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity;
• Upload, post, email or otherwise transmit any content that you do not have a right to transmit under any law or under contractual or fiduciary relationships.

4. Content Ownership

You retain all rights to any content you submit, post or display on or through the Service. By submitting, posting or displaying Content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such Content in any and all media or distribution methods.

5. Termination

You agree that Toplayr may, under certain circumstances and without prior notice, immediately terminate your account and access to the Service. Cause for such termination shall include, but not be limited to, breaches or violations of the TOS or other incorporated agreements or guidelines, requests by law enforcement or other government agencies, and a request by you (self-initiated account deletions).

6. Disclaimer of Warranties

YOU EXPRESSLY UNDERSTAND AND AGREE THAT: YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TOPLAYR EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
